1. Acceptance of These Terms

These Terms of Service (the “Terms”) govern your access to and use of the website located at privatelending360.com (the “Site”) and the services, client portals, communications, and content made available through it (together with the Site, the “Services”), which are provided by Private Lending 360°, Inc., a California corporation, together with its affiliated companies (“Private Lending 360°,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Services.

2. Who We Are

Private Lending 360° provides loan servicing, escrow, loan document preparation, default management, and related services to private lenders, mortgage brokers, borrowers, and investors. Information on the Site is provided for general informational purposes. Nothing on the Site constitutes an offer to lend, a commitment to lend, or legal, tax, accounting, investment, or financial advice. You should consult your own professional advisors before making decisions based on information found on the Site.

3. Eligibility and Accounts

You must be at least 18 years of age and able to form a binding contract to use the Services. Certain features, including client portals, require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information, to keep it updated, and to notify us promptly at support@privatelending360.com of any unauthorized use of your account.

4. Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to: (a) use the Services in any way that violates applicable federal, state, or local law; (b) attempt to gain unauthorized access to any portion of the Services, other accounts, or any systems or networks connected to the Services; (c) introduce viruses, malware, or other harmful code; (d) use any automated means to access, scrape, or copy content from the Services without our written permission; (e) impersonate any person or entity or misrepresent your affiliation with any person or entity; or (f) interfere with the proper working of the Services.

5. Text Message (SMS) Program Terms

Private Lending 360° offers a text messaging program called Private Lending 360° Alerts (the “Program”). The Program delivers account, servicing, payment, document, and operational notifications to borrowers, lenders, brokers, and personnel who have expressly opted in. The Program does not send marketing or promotional messages.

How you opt in

You consent to receive text messages from Private Lending 360°, Inc. when you provide your mobile telephone number and affirmatively check the consent box on the Text Alerts sign-up form at privatelending360.com/text-alerts, or when you sign a written consent on an account, servicing, or onboarding form. Consent to receive text messages is not a condition of purchasing any goods or services from us.

Message frequency

Message frequency varies based on your account activity. Most recipients receive up to 10 messages per month.

Message and data rates may apply. Contact your wireless carrier for details about your plan.

How to opt out

You may cancel at any time by replying STOP to any message you receive from us. After you send STOP, we will send you one final message confirming that you have been unsubscribed, and you will receive no further messages unless you opt in again.

Carriers

Wireless carriers are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission from your carrier and network availability.

Privacy of your mobile information

Your mobile telephone number and your text messaging opt-in data and consent will not be shared with, sold to, or transferred to any third parties, affiliates, or associates for marketing or promotional purposes. See our Privacy Policy for a full description of how we handle mobile information.

Changes to your number

If you change or deactivate your mobile number, you agree to notify us at support@privatelending360.com so that we can update our records.

6. Electronic Communications

When you use the Services or send us emails, text messages, or other electronic communications, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by law.

7. Intellectual Property

The Services and all content on the Site, including text, graphics, logos, images, software, and the Private Lending 360° name and marks, are the property of Private Lending 360°, Inc. or its licensors and are protected by United States and international intellectual property laws. You may view and print pages from the Site for your own personal or internal business use. Any other use, including reproduction, modification, distribution, or republication without our prior written consent, is prohibited.

8. Third-Party Links and Services

The Site may contain links to third-party websites or services that we do not own or control. We are not responsible for the content, privacy practices, or policies of any third party. Your use of third-party websites is at your own risk and subject to the terms of those websites.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT INFORMATION ON THE SITE IS COMPLETE, ACCURATE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PRIVATE LENDING 360°, INC., ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS LIMITS ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND NOTHING IN THESE TERMS MODIFIES THE TERMS OF ANY SEPARATE WRITTEN SERVICING, ESCROW, OR OTHER AGREEMENT BETWEEN YOU AND US.

11. Indemnification

You agree to defend, indemnify, and hold harmless Private Lending 360°, Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your violation of these Terms or your misuse of the Services.

12. Governing Law and Venue

These Terms are governed by the laws of the State of California without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may revise these Terms from time to time. The Effective Date at the top of this page shows when the Terms were last revised. Your continued use of the Services after revised Terms are posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
